Terms of Service

These Terms of Service ("Terms") govern your access to and use of HighRater AI's website, dashboard, and services (collectively, the "Service"), operated by HighRater AI ("we," "us," "our"). By creating an account or using the Service, you ("Client," "you") agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By signing up for a free trial, creating an account, or otherwise accessing the Service, you confirm that you are at least 18 years old, have the authority to bind the business you represent to these Terms, and agree to comply with them.
2. Description of Service
HighRater AI provides a reputation management platform for local businesses, including:
- Automated AI-generated responses to customer reviews on supported platforms (currently Google, Facebook, and Yelp)
- A customer feedback system that surveys customers after an appointment or transaction and routes high-scoring feedback toward public review platforms while privately flagging low-scoring feedback for the Client's attention
- A dashboard for monitoring reviews, response history, and feedback activity
The Service may be modified, expanded, or have features added or removed at our discretion, with reasonable notice to active Clients where the change materially affects the Service they are paying for.
3. Subscriptions, Billing & Free Trial
3.1 Free Trial. New accounts receive a 7-day free trial. No payment is required to begin a trial. You may cancel at any time during the trial without charge.
3.2 Subscription Plans & Billing. Following the trial, continued use of the Service requires a paid subscription at the rate disclosed at signup (currently $299/month for a Single location plan, $499/month for Growth, and $899/month for Agency, subject to change with notice). Subscriptions are billed monthly in advance and automatically renew each billing cycle until cancelled.
3.3 Price Changes. We may change subscription pricing. Existing Clients will be given at least 30 days' notice before a price change takes effect on their account.
3.4 Payment Processing. Payments are processed by a third-party payment processor acting as merchant of record on our behalf. By subscribing, you also agree to that processor's applicable terms, which will be disclosed to you at checkout.
4. Client Responsibilities
You agree to:
- Provide accurate business information during signup
- Keep your account credentials confidential and notify us promptly of any unauthorized access
- Use the Service only for lawful purposes and in compliance with the terms of service of any third-party platform we connect to on your behalf (e.g., Google Business Profile, Facebook, Yelp, WhatsApp)
- Ensure that any phone number or messaging channel you connect to the Service for the customer feedback system is one you are authorized to send business communications from, and that your use complies with applicable messaging and telemarketing laws (including, where applicable, the U.S. Telephone Consumer Protection Act (TCPA))
You are solely responsible for obtaining any consents required from your own customers before sending them review requests or survey messages through the Service.
5. AI-Generated Content
5.1 Nature of AI Output. The Service uses artificial intelligence to draft and, in Auto-Pilot mode, automatically publish responses to customer reviews. AI-generated content is produced algorithmically and, while designed to be accurate and appropriate, may occasionally contain errors, inaccuracies, or phrasing the Client would not have chosen.
5.2 Approval Mode vs. Auto-Pilot Mode. In Approval mode, no AI-generated response is published until the Client reviews and approves it. In Auto-Pilot mode, responses are published automatically without Client review. By enabling Auto-Pilot mode, you accept full responsibility for the content published on your behalf, and acknowledge that we are not liable for the content, tone, or consequences of any automatically published response.
5.3 No Guarantee of Outcome. We do not guarantee that use of the Service will result in improved ratings, increased reviews, additional customers, or any specific business outcome.
6. Third-Party Platforms
The Service integrates with third-party platforms (including but not limited to Google, Facebook, Yelp, WhatsApp/Meta Business Platform, and our payment processor). We do not control these platforms and are not responsible for their availability, changes to their terms or APIs, or any disruption to the Service caused by changes on their end. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted integration.
7. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted, error-free, or 24/7 access. The Service may be temporarily unavailable due to maintenance, third-party outages, or circumstances outside our control. We are not liable for losses resulting from such downtime, though we will make reasonable efforts to notify Clients of planned maintenance in advance.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available," without warranties of any kind, express or implied.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business reputation, arising from your use of the Service.
- We are not liable for the content of AI-generated responses published in Auto-Pilot mode, for actions taken based on customer feedback outcomes, or for the conduct of third-party platforms we integrate with.
- Our total liability for any claim arising from the Service is limited to the amount you paid us in the three (3) months preceding the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
9. Termination
9.1 By You. You may cancel your subscription at any time from your account dashboard or by emailing hello@highrater.com. Cancellation takes effect at the end of your current billing period; no partial-month refunds are issued except as described in our Refund Policy.
9.2 By Us. We may suspend or terminate your account, with notice where practicable, if you violate these Terms, use the Service unlawfully, fail to pay applicable fees, or use the Service in a way that risks harm to us, our other Clients, or third parties.
9.3 Effect of Termination. Upon termination, your access to the Service ends. Data retention following termination is described in our Privacy Policy.
10. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated to active Clients by email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
11. Governing Law
These Terms are governed by applicable law, and any disputes shall be resolved through good-faith negotiation or binding arbitration. Nothing in these Terms limits any rights you may have under the consumer protection laws of your own jurisdiction (including UK Consumer Rights Act 2015, Australian Consumer Law, or applicable Canadian provincial law).
